Nasdaq Can Delist Chinese Company CleanTech, U.S. Judge Says

Dec. 31 (Bloomberg) -- Nasdaq Stock Market won a federal judge?s permission to delist a Chinese maker of wind towers over its objection that the procedures for kicking it out are marred by bias.

U.S. District Judge Richard J. Sullivan yesterday lifted the restraining order imposed against Nasdaq by New York State Supreme Court Justice Melvin Schweitzer on Dec. 20. Sullivan also denied a request by CleanTech Innovations Inc., based in Tieling, China, that he impose his own temporary restraining order.

?The court finds that the state court lacked jurisdiction to enter a temporary restraining order in a matter arising under? the federal securities law, Sullivan wrote in his order. The U.S. Securities and Exchange Commission on Dec. 28 also denied CleanTech?s request for a stay, which the company can appeal to the federal court rather than the court imposing its own restraining order, Sullivan said.

CleanTech has been fighting removal since January, when Nasdaq asserted that the company, which makes towers for wind turbines, intentionally withheld material information about $20 million in financing during its listing application. The company says it provided all necessary information in a timely manner.

CleanTech has retained as counsel former U.S. Senator Arlen Specter, who represented Pennsylvania as a Republican before becoming a Democrat in 2009.

?Discriminatory Actions?

?Judge Sullivan?s ruling is a technical procedural ruling that doesn?t touch on the substance of the discriminatory actions by Nasdaq against China-based reverse-merger companies,? Blair Fensterstock, a lawyer for CleanTech, said in a phone interview. ?The company intends to take every action possible to pursue the discriminatory actions of Nasdaq and its staff.?

CleanTech alleged the exchange violated its own rules and the company?s right to due process in ?arbitrarily and capriciously? seeking to remove it. Nasdaq?s practices are ?racially motivated? and ?blatantly discriminatory,? aimed at delisting Chinese companies, according to the complaint.

?The staff made it clear that they were looking through a different scope at China-based companies and that whether or not a company and or its advisers had a good reputation was irrelevant,? Fensterstock said.

Auditor Resignations

The court action is part of the fallout from a series of cases alleging fraud involving China-based companies. Chinese shares trading in the U.S. have lost more than $10 billion in market value this year after companies such as Longtop Financial Technologies Ltd. and China MediaExpress Holdings Inc. disclosed financial irregularities or auditor resignations.

Concern has focused on the more than 400 Chinese businesses that have used reverse mergers -- buying public shell companies to gain stock market listings in North America while avoiding the scrutiny of an initial public offering.

The SEC in June cautioned investors about buying stakes in reverse merger companies, saying they may be prone to ?fraud and other abuses.? From 2005 to 2010, Nasdaq approved the listing of more than 55 Chinese reverse mergers, according to a tally by Bloomberg News.

Nasdaq approved CleanTech?s listing in December 2010 and issued a delisting notice a month later, saying the company intentionally failed to disclose material information about bridge financing of $20 million that it received in December, just after the listing.

CleanTech has responded that it had no idea when or whether Nasdaq would approve the listing and that it disclosed the transaction as required without withholding any information.

The case is Cleantech Innovations Inc. v. Nasdaq Stock Market LLC, 11-cv-9358, U.S. District Court, Southern District of New York (Manhattan).

"he's inherited his father's dictatorship" says the radio station manager. now we just want to remind everyone that those images of the funeral procession today were only available direct from north korean state television so it hasn't been possible to verify how much of that, if possibly all of it was staged, including the mourning.

Kinect sensor wants to guess astronauts' weight, tell them to hit the space gym

How do you weigh yourself when there's no gravity keeping you down? Well, you can calculate your mass by sitting on an oscillating spring and comparing its standing frequency to your riding frequency (NASA's current method), or you could rig up a Kinect sensor to tell you when you're getting fat. Carmelo Velardo, a Eurocom computer scientist in Alphes-Maritimes, France, is developing the latter option. Working with colleagues at the Italian Institute of Technology's Center for Human Space Robotics, Velardo paired the Kinect sensor's 3D modeling digs with a database of weight to body measurements of 28,000 people -- the resulting system can guess your weight with a 97 percent accuracy.

NASA scientist John Charles notes that while the rig works well on the ground, it might hit some snags in space. Microgravity can shift water around in an astronaut's body, changing their density and potentially throwing off the Kinect setup's readings. Still, Charles says the technique "appears feasible," and suggests pairing it with the existing weight measurement tools might "provide insights into changes in body density that might be illuminating." Velardo hopes to test the system in parabolic flight soon. If he succeeds, not even outer space will protect us from the shameful judgment of video game peripherals. AS IS clear to anyone who possesses even the most cursory interest in the news, future historians will almost certainly mark 2011 as the year of the first robot-insect wars.

Japan, China look to trade talks, debt buys (Reuters)

BEIJING (Reuters) ? Japan and China agreed to start formal talks early next year on a free trade pact that would also include South Korea, Japanese Prime Minister Yoshihiko Noda said on Sunday after talks that showed the deepening bonds between Asia's two biggest economies.

Japan also said it was looking to buy Chinese treasury debt, and the two governments agreed to enhance financial cooperation.

"On a free trade agreement among Japan, China and South Korea, we've made a substantial progress for an early start of negotiations," Noda told reporters after his meeting with Premier Wen Jiabao.

China's central bank, the People's Bank of China, said on its website (www.pbc.gov.cn) that the two leaders agreed to strengthen bilateral financial market cooperation and "encourage the use of the renminbi and Japanese yen in international trade transactions between the two countries."

The renminbi is another name for China's yuan currency.

The trade talks announcement builds on an agreement between the three countries last month also to seek a trilateral investment treaty and finish studies on the proposed free trade agreement by the end of December so that they could start formal negotiations on the trade pact.

"China is willing to closely coordinate with Japan to promote our two countries' monetary and financial development, and to accelerate progress of the China-Japan-Republic of Korea free-trade zone and East Asian financial cooperation," Wen told Noda at the meeting, according to Chinese Foreign Ministry's official website (www.mfa.gov.cn).

But the regional trade negotiations could also compete for attention with Washington's push for a Trans-Pacific Partnership (TPP), after Japan said last month it wants to join in the talks over the U.S. proposal.

CLOSER ECONOMIC TIES

Despite sometimes rancorous political ties between the two neighbors, Japan's economic fortunes are increasingly tied to China's economic growth and consumer demand.

China and Japan are also the world's first and second-biggest holders of foreign reserves. Wen told Noda that closer economic ties were in both countries' interests.

"The deep-seated consequences of the current international financial crisis continue to spread, and the complexity and severity of global and world developments have exceeded our expectations," Wen said.

"China and Japan both have the need and conditions to join hands more closely to respond to challenges and deepen mutually beneficial strategic relations."

China has been Japan's biggest trading partner since 2009.

In 2010, trade between the two nations grew by 22.3 percent compared to levels in 2009, reaching 26.5 trillion yen ($339.3 billion), according to the Japan External Trade Organization.

In a statement issued after the two leaders' meeting, the Japanese government said it would seek to buy Chinese government bonds -- a tentative step toward diversification of Tokyo's large foreign exchange reserves that are believed to be mostly held in dollars.

China central bank said the two governments agreed to support Japanese businesses issuing yuan bonds in Tokyo and other markets outside of China, and Japan Bank for International Cooperation would begin a pilot scheme for issuing yuan-denominated bonds in mainland China.

The People's Bank of China also said it will support Japan in using the yuan for direct investment in China.

But Japanese officials have stressed that Japan's trust in dollar assets remains unshaken, and the scale of the planned purchase of Chinese government bonds will be small.

Wen and Noda also agreed to set up a framework to discuss maritime issues after diplomatic ties deteriorated sharply last year following Japan's arrest of a Chinese fishing boat captain near disputed isles in the East China Sea.

Bilateral meetings attended by vice ministers and senior officials from relevant ministries will be held periodically to exchange views, in an effort to prevent a similar row from happening.

"On maritime matters, we have successfully set up a channel to solve problems through multi-layered dialogue," Noda told reporters.

Kodak names a second president, agrees to sell gelatin operation

Eastman Kodak Co. announced two moves Thursday: the sale of a longtime operation and the promotion of its top lawyer to company president.

Kodak?s board elected Laura Quatela as president, effective Jan. 1, the company said Thursday after the market closed. Quatela, 54, is currently Kodak?s general counsel.

Philip Faraci also will continue as president, a position he has held since September 2007. Both report to Chairman and CEO Antonio Perez.

"Laura's election reflects her increasing role in the company, including the strategic importance of the intellectual property business,? Perez said in a statement.

Patrick Sheller, the company?s deputy general counsel as well as corporate secretary and chief compliance officer, is to succeed Quatela as general counsel. He will continue to serve as secretary to the board of directors.

Kodak also said it agreed to sell Eastman Gelatine Corp. to Rousselot, part of the Vion Food Group. Financial details were not disclosed. The company expects the deal to close within 30 days.

Some 95 Eastman Gel employees will continue with the business following the closing. The deal includes 575,000 square foot of production space in Peabody, Mass.

Kodak said the sale is part of its previously announced intention to sell non-core assets to sharpen the company?s focus on its digital growth initiatives and accelerate Kodak?s transformation to a digital company.

Eastman Gel has been successfully managing the transition of the photographic market by increasingly expanding its sales into non-photographic categories, such as the pharmaceutical, edible protein and food/confectionary categories, officials said.

Eastman Gelatine has been a Kodak subsidiary since 1930, when Kodak bought the plant of American Glue Co.

Last combat troops out of Iraq back at Fort Hood

FORT HOOD, Texas -- 1st Sgt. Scott Dawson has spent several Christmases overseas during four deployments to Iraq, but he arrived home for this holiday Saturday -- and he and his family hope it's for good.

Dawson was among the very last U.S. combat soldiers to leave Iraq a week ago. Members of his brigade having been arriving Fort Hood in Texas over the past week, and he was in a group of nearly 200 that landed Saturday. Only about a dozen are still overseas, along with members of another brigade that was in the final convoy to cross the border into Kuwait.

The soldiers' families waited for two hours in drizzling rain and chilling wind on Christmas Eve morning, some wrapped in blankets and holding signs decorated with ornaments and candy canes. They screamed upon seeing the troops from the 3rd Brigade, 1st Cavalry Division arrive in buses and march onto a field at the Army post.

When the announcer yelled "Charge!" at the end of the brief welcome-home ceremony, wives, children and parents ran to the soldiers.

Dawson's wife, Capt. Jessica Dawson, said his absence has been difficult even though she may have a better understanding than other spouses. She deployed with her husband in 2009.

"He's missed a lot of birthdays and holidays, but you don't dwell on what you missed, and they are little enough that they won't remember he wasn't here," Jessica Dawson said. "The biggest thing is that he made it (back). Like I told the kids, even if

he doesn't get back in time, this will be the best Christmas ever because he's out of Iraq."

Great for beginner took it out of the box and it had more packing than neccecary (im a green dude) and turned it on and had a full charge went to youtube and it had horrible quaility and had to do all these steps to get it to 480p no 720p if you have anything less than a n rated router dont even think about getting this. make sure you update to andriod 2.2 first. would like it more if it had real buttons instead of those buttons on the top left corner the two gigabite card wasnt big enough so i got a 32 gigabyte card and it worked much faster unfortently some apps wouldnt download hope cruz comes out with an update soon other than that its great. 12/19/2011

Asian stocks lower after US, Europe fall (AP)

BEIJING ? Global stocks were mixed Thursday after investors were rattled by the European Central Bank's huge loan to bolster the continent's banks.

Asian markets fell, breaking a two-day rally. Tokyo's main index declined 0.8 percent to 8,395.16 and China's benchmark lost 0.2 percent to 2,186.3. Taipei was flat, while Hong Kong and Sydney were down.

In early European trading, Germany's DAX rose 1.3 percent to 5,866.85 and France's CAC 40 gained 1.1 percent to 3,062.51. Britain's FTSE 100 rose 1.1 percent to 5,449.03.

The Asian declines came after stocks plunged early this week on anxiety over the death of North Korean leader Kim Jong Il, then rallied on positive U.S. construction data and a strong Spanish government debt auction.

"We're seeing the markets fall on their own weight here in Asia, with no one looking to step in and buy," said Chris Weston, an institutional dealer for Australia's IG Markets.

Investors were spooked by the huge size of the ECB's euro489 billion ($639 billion) loan Wednesay to 523 banks ? its biggest credit infusion to date as authorities try to steady a financial system under pressure from Europe's debt crisis.

The loan will help to ensure banks have enough money to lend next year but cannot address the underlying problem of government debts.

"It alleviates some of the symptoms. But it's not going to change the situation long-term," said Weston.

In China, textile and securities companies led declines.

Investors are hoping Beijing eases curbs on bank lending and real estate sales to revive slowing economic growth. But analysts expect no immediate changes.

"If expectations of an easier monetary policy do not materialize, the market will remain unstable, but even if some loosening does emerge, the room for gains is still quite limited," said Liu Kan, an analyst at Guoyuan Securities in Shanghai.

Elsewhere in Asia, Sydney's S&P/ASX 200 shed 1.2 percent to 4,090.8 while Seoul's Kospi was down 0.1 percent to 1,847.49 and Singapore declined 0.3 percent to 2,664.90. Taipei's Taiex closed unchanged at 6,966.35.

European markets fell Wednesday and on Wall Street, the Dow Jones Industrial Average was off 0.5 percent. The broader S&P 500 index fell 0.6 percent, led by an 11 percent decline for Oracle Corp., which said it was struggling to close deals, reinforcing worries business and the government may cut technology spending.

European officials says banks need to raise euro115 billion ($150 billion) in new capital but investors are leery of putting more money into them. It would be politically unpopular for governments to do it and their finances are stressed as well.

Benchmark crude for February delivery was up 57 cents at $99.27 in electronic trading on the New York Mercantile Exchange.

The euro was up about 0.6 percent at $1.3106. The dollar was little changed at 78.05 yen.

Pa. deputy attorney general cites PSU 'inaction' (AP)

HARRISBURG, Pa. ? A graduate student waited a day after allegedly seeing a child being sexually assaulted on Penn State's campus before telling his supervisor, football coach Joe Paterno.

Paterno waited another day before calling the university's athletic director, who looped in a school vice president.

"It was a Saturday morning and I didn't want to interfere with their weekends," Paterno told a grand jury this year, recalling the unusual visit from graduate assistant Mike McQueary.

McQueary said he had seen former defensive coordinator Jerry Sandusky doing something "extremely sexual" with a young boy in a locker room shower.

On Friday, McQueary testified at a preliminary hearing for two Penn State officials ? athletic director Tim Curley and vice president Gary Schultz ? accused of covering up the story. He offered the most detailed public account yet of the child sex abuse allegations that have upended the university's football program and the entire central Pennsylvania campus.

Curley and Schultz are headed to trial on perjury charges after Friday's preliminary hearing, accused of lying to a grand jury about what McQueary told them.

Curly and Schultz waited another 10 days before meeting with McQueary to get more facts. Instead of calling police, they talked to two people: Sandusky and the executive director of his children's charity.

"I think it's a sad, sad, sad day, when you think about all of these victims, and you saw the inaction by a number of supposedly important, responsible adults. And there's a lot of inaction in this case," Marc Costanzo, a senior deputy attorney general, said after the preliminary hearing.

Besides the perjury charges, and the dozens of sex assault charges pending against Sandusky, Paterno and university president Graham Spanier have lost their jobs over the scandal.

Defense lawyers argued that McQueary "minimized" the alleged sexual assault when he talked to Paterno, ultimately leading their clients to believe that Sandusky's behavior was "inappropriate," but not criminal.

They say McQueary never relayed the seriousness of what he saw, leading them to think Sandusky was merely "horsing around."

"I didn't see any reason because I didn't think at the time it was a crime," Curley told the grand jury, according to testimony read into the record on Friday.

Curley, Schultz and Paterno have been criticized for not telling law enforcement about the 2002 charges. Prosecutors say Sandusky continued to abuse boys for six more years.

In about two hours on the witness stand, McQueary said again and again that what he saw was a sexual act, although he stopped short of saying he was sure that Sandusky, now 67, had raped the boy.

"I believe Jerry was sexually molesting him and having some type of sexual intercourse with him," McQueary said on Friday. He said later he "can't say 100 percent" that Sandusky and the boy were having intercourse because he was seeing Sandusky from behind.

He said after talking to his father, he went over to Paterno's home the next morning and said that what he had seen "was way over the lines, it was extremely sexual in nature." He said he would not have used words like sodomy or intercourse with Paterno, out of respect for the coach.

Paterno told the grand jury that McQueary said he saw Sandusky doing something of a "sexual nature" with the youngster but that he didn't press for details.

"I didn't push Mike ... because he was very upset," Paterno said. "I knew Mike was upset, and I knew some kind of inappropriate action was being taken by Jerry Sandusky with a youngster."

Paterno told McQueary he would talk to others about what he'd reported.

McQueary said he met about 10 days later with Curley and Schultz and told them he'd seen Sandusky and a boy, both naked, in the shower after hearing skin-on-skin slapping sounds.

"I would have described that it was extremely sexual and I thought that some kind of intercourse was going on," said McQueary.

McQueary said he was left with the impression both men took his report seriously. When asked why he didn't go to police, he referenced Schultz's position as a vice president at the university who had overseen the campus police

"I thought I was talking to the head of the police, to be frank with you," he said. "In my mind it was like speaking to a (district attorney). It was someone who police reported to and would know what to do with it."

The square-jawed, red-haired assistant coach spoke in a steady voice in his first public account of the alleged abuse, sometimes turning his seat and leaning in toward defense lawyers to answer questions. His voice rose a few times and he blushed once when describing the sexual encounter in the shower.

Defense lawyers for Curley and Schultz argued that a perjury charge in Pennsylvania cannot be based solely on one person's oath versus another's. The defense said uncorroborated testimony from McQueary is not enough, and sought to pick apart the ways he described the shower scene differently to different people.

The defense noted that McQueary admitted changing his description of the shower encounter when speaking with Paterno.

McQueary said he had stopped by a campus football locker room to drop off a pair of sneakers the Friday night before spring break, a quiet night on campus, when he saw Sandusky with a boy who looked to be 10 or 12 years old.

McQueary, 37, said he has never described what he saw as anal rape or anal intercourse and couldn't see Sandusky's genitals, but that "it was very clear that it looked like there was intercourse going on."

In its report last month, the grand jury summarized McQueary's testimony as saying he "saw a naked boy ... with his hands up against the wall, being subjected to anal intercourse by a naked Sandusky."

McQueary said he peeked into the shower three times ? the first via a mirror, the other two times directly. The last time he looked in, Sandusky and the boy had separated, he said. He said he didn't say anything, but "I know they saw me. They looked directly in my eye, both of them."

McQueary said the entire encounter ? from when he first entered the locker room to when he retreated to his office ? lasted about 45 seconds.

Curley told the grand jury that he couldn't recall his specific conversation with McQueary, but said McQueary never reported seeing anal intercourse or other sexual conduct. He said he spoke to Sandusky about it, who first denied having been in the shower with a boy, but later changed his story.

Schultz said he remembered McQueary and Paterno describing what the younger coach saw only in a very general way.

"I had the impression it was inappropriate," Schultz told the grand jury. "I had the feeling it was some king of wrestling activity and maybe Jerry might have grabbed a young boy's genitals."

Under cross-examination, McQueary said he considered what he saw a crime but didn't call police because "it was delicate in nature."

"I tried to use my best judgment," he said. "I was sure the act was over." He said he never tried to find the boy.

Paterno, Schultz and Curley didn't testify, but their entire grand jury testimony from January was read at the Dauphin County hearing.

Curley's attorney, Caroline Roberto, said prosecutors "will never be able to reach their burden of proof at a trial," in part because McQueary "minimized" the alleged assault to Paterno.

Schultz's attorney, Tom Farrell, predicted his client would be acquitted.

He also took a shot at Paterno, saying, "I'm an Italian from Brooklyn, and he may not have called the police but he may have done what I would have done, which is get the boys in the car with a few baseball bats and crowbars and take it to the fellow."

Sandusky says he is innocent of 52 criminal charges stemming from what authorities say were sexual assaults over 12 years on 10 boys in his home, on Penn State property and elsewhere.

Curley, 57, was placed on leave by the university after his arrest. Schultz, 62, returned to retirement after spending about four decades at the school, most recently as senior vice president for business and finance, and treasurer.
